Terms of Service

1. Acceptance of terms

By accessing or using ScribX ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of the service

ScribX is a meeting intelligence platform that provides real-time transcription, AI-powered translation, automated meeting notes and a meeting management CMS. The Service is operated by TDA Group ("we," "us," "our").

The Service is currently in beta. Features may change, be removed or become paid without notice. We are not liable for any disruption during this period.

3. Account registration

You must provide accurate information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@scribx.app if you suspect unauthorized access.

You must be at least 16 years old to use the Service.

4. Acceptable use

You agree not to:

• Record meetings without the knowledge and consent of all participants where required by applicable law.
• Use the Service to process or store sensitive personal data (health, financial, legal) without appropriate safeguards.
• Reverse-engineer, decompile or attempt to extract source code from the Service.
• Use the Service to transmit spam, malware or unlawful content.
• Resell or sublicense access to the Service without our written consent.
• Attempt to circumvent usage limits or access controls.
• Generate deepfakes, voice clones or synthetic media impersonating any person without their explicit written consent.
• Create or distribute disinformation, fraudulent, deceptive or manipulative content.
• Use the Service, its outputs or your data within it to train, fine-tune or develop a competing AI, transcription or translation product.

You are solely responsible for ensuring you have the legal right to record and process any meeting content. Compliance with wiretapping and consent laws in your jurisdiction is your responsibility.

Consent and participant notification

Many jurisdictions require all-party consent before recording a conversation. Before using ScribX in any meeting, you must:

• Inform all participants that the meeting is being recorded and transcribed.
• Obtain their explicit consent where required by local law (including but not limited to California, Illinois, and EU member states).
• Provide a mechanism for participants to opt out of recording.

TDA Group is not liable for your failure to obtain consent or comply with applicable recording laws.

Biometric data (voiceprints)

Speaker identification features may generate voice characteristics that qualify as biometric data under applicable law (e.g. Illinois BIPA, Texas CUBI). By enabling speaker identification, you represent that you have notified participants and obtained any consent required to collect and process biometric identifiers under applicable law. You must maintain and publish a retention schedule for any biometric data you collect through the Service.

5. Intellectual property

Your content: You retain all ownership rights in your meeting recordings, transcripts and notes. You grant us a limited license to process that content solely to provide the Service.

Our content: The ScribX platform, including its software, design, branding and documentation, is owned by TDA Group and protected by copyright and other intellectual property laws. You may not copy, modify or distribute it without our permission.

6. Payment and billing

The Free plan is provided at no cost subject to usage limits. Paid plans are billed monthly or annually via Stripe. Prices are listed on the pricing page and may change with 30 days' notice to existing subscribers.

Except where required by applicable law (including Vietnamese consumer-protection law), fees already paid are non-refundable once the corresponding billing period has begun.

Early Adopter beta: The Early Adopter plan is free during the beta period. We will provide at least 30 days' notice before introducing charges.

7. Termination

You may terminate your account at any time from account settings. We may suspend or terminate your account if you breach these Terms, with or without notice depending on severity.

On termination, your access to the Service ceases immediately. You may export your data before termination. We will delete your data within 30 days of account deletion, except where retention is required by law.

8. Limitation of liability

To the maximum extent permitted by applicable law, TDA Group's total liability to you for any claims arising from the Service shall not exceed the greater of (a) the amount you paid us in the 12 months before the claim or (b) USD 100.

We are not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, data loss or business interruption.

9. Disclaimers

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free or that AI-generated content will be accurate or complete.

AI transcriptions and summaries are automated and may contain errors. Do not rely on them for legal, medical or financial decisions without independent verification.

10. Governing law

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-laws rules. The parties will first attempt to resolve any dispute amicably; failing that, the dispute shall be submitted to the competent People's Court in Hanoi, Vietnam. Nothing in this clause deprives consumers of the protection of mandatory laws of their country of residence.

11. Changes to these terms

We may update these Terms. We will notify you by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.
